Thomas D. Moore, Jr. has practiced law in Dallas/Fort Worth Metroplex since 1981, for 15 years within the corporate and securities law group of one of the largest downtown Dallas law firms and for an additional three years with a Galleria area firm. He moved his practice to Denton County in 1999, first with one of the largest local firms before opening the Flower Mound office of Blume, Stoddard & Moore in early 2004. The office relocated to Highland Village in early 2006, where it operated as Moore, Stoddard & Northam, PLLC. In 2011, Mr. Moore returned to Flower Mound and now serves as Of Counsel to Blume, Faulkner, & Skeen, PLLC. Mr. Moore’s education includes an B.A. from Duke University in 1975 and an M.B.A. from the Wharton School of the University of Pennsylvania in 1978. He received his law degree from Vanderbilt University in 1981, where he served as Executive Editor of the Vanderbilt Law Review. He has represented clients in a broad variety of stock and asset sales and acquisitions, institutional financings (representing borrowers and lenders), public and private securities offerings, real estate purchases, sales, and financings, and general business matters. He has particular concentrations of experience in handling the following types of matters:
Entrepreneurial Representations – Mr. Moore has advised and represented a wide variety of individuals and small corporations, partnerships, and limited liability companies in organizational, acquisition, financing, and disposition matters, with particular experience in addressing control and succession issues. He reviews and assists in the negotiation of key contracts, including leases and franchise agreements.
Estate Planning – Mr. Moore has assisted numerous clients with their estate planning needs. He has prepared wills, revocable and irrevocable trusts, and powers of attorney (including medical powers and directives to physicians, also known as “living wills”). The focuses of these efforts are the minimization of estate taxes and the cost and inconvenience of the probate process and the assurance that the client’s objectives and desires will be met.
Lending – Mr. Moore represents several financial institutions in their real estate lending and other secured business loans. He also has represented a number of borrowers in complex loan transactions.
Motor Vehicle Industry – Mr. Moore has represented buyers and sellers in well over 100 completed dealership acquisition transactions, including stock and asset sales, “naked” franchise sales, franchise exchanges, and acquisitions through the bankruptcy court. In addition to Texas, the dealerships have been located in Arkansas, California, Colorado, Georgia, Illinois, Indiana, Louisiana, Missouri, New Jersey, Oklahoma, Rhode Island, and Tennessee. He advises dealers on dealership finance, real estate acquisition and finance, corporate control, and ownership succession issues, as well as coordinating a broad spectrum of bankruptcy, environmental, labor, litigation, and tax representation. His clients on motor vehicle industry legal matters also have included vehicle manufacturers, major banks and specialty lenders, and providers of services and products to dealerships.
Land Use Planning – Mr. Moore has represented both property owners and neighborhood associations in zoning and land use controversies, with appearances before a broad spectrum of municipal boards and commissions and city councils. He has negotiated and obtained passage of multiple planned development district ordinances and amendments, as well as several modifications to the Dallas City Code. He served on the Planning and Zoning Commission of Highland Village in 2002-2003.
Mr. Moore currently chairs the Parks and Recreation Advisory Board of Highland Village and is a director and service projects chairman of the Lewisville Rotary Club, where he is also a past president. In addition, he serves on the boards of Youth & Family Counseling and the Highland Village Library Foundation.
